For VC and other private-market strategies, an Exempted Limited Partnership (ELP) is a commonly used structure. Typically, the general partner manages the fund while limited partners contribute capital without participating in day-to-day management.

Cayman also revised certain fund fees from 1 January 2026. For example, the annual fee for registered funds increased from US$3,675 to US$4,125, while master-fund annual fees increased from US$2,625 to US$3,075. 

These figures should not be treated as the total cost of launching a VC fund. Professional and operational costs can be substantially more significant than government fees.

If you’re starting a venture capital fund to invest primarily in MENA-based startups, and want your team, banking relationships and DFSA licence physically anchored in the region, DIFC gives you all of that under one roof. 

If your LP base is largely institutional, US-based, or simply more comfortable with a Cayman-LP structure they’ve seen a hundred times before, Cayman removes friction at the fundraising table, even if your management team sits in Dubai, London or Singapore. 

It’s also increasingly common to combine the two: a DIFC-based management company holding the DFSA licence and doing the day-to-day work, advising or managing a Cayman-domiciled fund vehicle that holds the LP commitments. 2026 Regulatory Updates You Should Factor In 

Both jurisdictions moved this year, and the changes affect how you should structure a new fund launching in late 2026 or 2027. 

  • DFSA Consultation Paper 173 (July 2026): the first comprehensive review of the DIFC funds regime since 2010, shifting from rigid fund categories toward a risk-based, disclosure-led framework and folding activities like dealing and arranging into a single “managing assets” licence. 
  • DIFC Prescribed Company amendments (2026): the DIFC Authority has proposed tightening how Prescribed Companies can be used by DFSA-authorised firms, particularly around establishing funds – worth checking before leaning on a PC as your only fund vehicle. 
  • Cayman beneficial ownership and economic substance: the Beneficial Ownership Transparency Act (BOTA) now governs disclosure for exempted companies, ELPs and LLCs. ELPs stay exempt from the substantive economic substance test, but an annual notification remains mandatory. 

Can You Use Both DIFC and Cayman? 

Yes. In some cases, a dual-jurisdiction structure can make commercial sense. For example, a manager could maintain a DIFC-based investment-management or advisory operation while using a Cayman fund vehicle for certain international investors.
