أنواع تأسيس الشركات في دبي
Dubai attracts foreign investors with its strong infrastructure and facilities. However, starting a business here requires careful planning to ensure each step is completed correctly.
Local and international business owners can select the type of company they wish to establish and must register in accordance with legal requirements. Please note that requirements differ slightly for local and international investors.
There are three main types of companies in the UAE: Mainland, Offshore, and Free Zone. We will help you identify the best option for your needs. Further details on each type are provided in the following sections.
3 ولايات قضائية رئيسية في دولة الإمارات العربية المتحدة
1. البر الرئيسي
A mainland company is licensed by the Department of Economic Development (DED) in a specific emirate of the UAE. These businesses may operate in commerce, industry, or tourism. Companies must obtain the necessary permissions from authorities to conduct their activities, as required by DED regulations.
Foreign investors may own 100% of a UAE mainland company. Shareholders must appoint a manager through the Articles of Incorporation (MOA) or a service contract, either temporarily or permanently, as part of the required documentation. Please contact us to discuss the best solution for your needs.
2. المنطقة الحرة
UAE Free Zones are a popular choice for starting a business and have consistently attracted foreign investors.
Each free zone has specific requirements regarding permitted activities, operational efficiency, reputation, audit obligations, and company formation processes. These factors can affect visa applications and bank account openings. Contact us to identify the most suitable free zone for your business.
3. في الخارج
Offshore companies in the UAE are not considered tax residents. They are intended for operations outside the country and are managed from abroad. These entities are recognised legally but are not covered by double taxation agreements.

DIFFERENT TYPES OF COMPANIES IN THE UAE
Your business operations, chosen jurisdiction, and other factors will determine the most suitable company type in the UAE. The following structures can be established on Dubai’s mainland, and many are also allowed in the UAE’s free zones.
1. شركة ذات مسؤولية محدودة
A Limited Liability Company is one of the most common business types in the UAE. It requires at least one shareholder, with the maximum depending on the jurisdiction. Each shareholder’s liability is limited to the value of their shares.
In the UAE, LLCs may conduct most activities except those involving banking, insurance, or other financial services.
2. Civil company
In the UAE, individuals in recognised professions such as medicine, accounting, and engineering may establish a civil company. Partners can own 100% of the company, but only professional activities are permitted.
These activities are classified as physical or intellectual and must be performed by one or more individuals with specified capital. Certain guidelines must be followed to incorporate a civil company.
3. Sole Establishment Company
A sole proprietorship, or sole establishment, is owned and operated by one individual. In the UAE, the owner must hold a trade license in their name. Companies or other corporate bodies cannot own a sole proprietorship.
The owner of a sole proprietorship is personally liable for all business activities and debts. Creditors may claim the owner’s personal assets to recover outstanding debts.
4. Branch Offices
A branch office is an extension of a company that supports business expansion into new regions. It is not a separate legal entity but provides a platform to establish a local presence and increase sales opportunities.
